Tenth
Metallurgy
Group
hereby
unconditionally

irrevocably
undertake
to
pay
Orialle
Holdings
(Pty)
Ltd
the
maximum
sum
of
R3,
000,
000.00
(Three
Million
Rand
Only
(“the
guaranteed
Amount”)
payable
within
(7)
seven
days
from
signing
of
the
pre-contract
agreement,
as
per
clause
4.2.3.
The
Guarantee
will
be
paid
in
a
separate
joint
account
(Escrow
account)
which
will
be
established
within
(14)
fourteen
days
from
the
date
of
issue
from
China
reputable
lending
bank
in
South
Africa.
应矿产能源部请求，中国第十冶金集团在此无条件与不可撤销地保证，在签署合同前期协议后7天内，按4.2.3.条款，向奥利尔
支付3百万元南非币（以下简称保证金）。本保证金将由南非共和国有声誉的一家中国贷款银行签发，存入一个在签发后14天内建立的共同账户（以下简称第三者保管账户）。
CTMC’s
liability
under
this
guarantee
is
of
a
principal
nature
and
this
guarantee
is
not
accessory
to
the
Orialle.
CTMC’s
liability
hereunder
shall
not
be
reduced
or
in
any
way
affected
by
the
release
or
alteration
of
the
terms
of
the
Pre-
Contract
Agreement
by
the
Department
of
Energy
and
Minerals,
or
by
reason
of
any
concessions,
extensions
of
time,
or
any
other
arrangements
made
with
Orialle.
中国十冶公司对本担保的责任是自主性质，担保与奥利尔完全无关。矿产能源部对合同前期协议条款的豁免或修改，或与奥利尔达成任何让步，延期或其他任何安排，都不会影响或降低中国十冶公司对本担保的责任。
CTMC
will
pay
under
this
guarantee
without
reference
to
the
correctness
or
otherwise,
of
the
amount
demanded
up
to
and
including
the
Guaranteed
Amount
and
without
regard
to
any
claim
or
dispute
of
any
nature
which
any
party
may
allege.
无论对保证金索求的数额正确与否，以及任何一方是否提出索赔或发生任何性质的纠纷，中国十冶公司都将根据该担保付款。
This
guarantee
is
neither
negotiable
nor
transferable,
restricted
to
the
payment
of
money
only
and
will
not
be
interpreted
as
extending
the
CTMC’s
liability
to
any
more
than
the
payment
of
the
Guarantee
Amount.
本担保不可作抵押或转让，中国十冶公司的责任仅局限于对保证金的支付，没有任何延伸的责任。
This
guarantee
will
expire,
whether
returned
to
the
CTMC
for
cancellation
or
not,
on
31
March
2013
or
on
the
date
that
the
Guarantee
Amount
has
been
repaid
to
CTMC
which
ever
occurs
first
on
which
date
the
CTMC’s
liability
hereunder
will
cease
and
no
claims
will
be
considered
thereafter.
无论是否退回中国十冶公司作撤销处理，本担保的有效截止日期是2013年3月31日，或者是保证金被归还中国十冶公司当日，以先到为准。中国十冶公司的有关责任也在当日终止，随后将不接受任何索赔要求。
The
cancellation
of,
or
any
change
to
the
terms
and/or
conditions
of
this
guarantee,
must
first
be
agreed
to
in
writing
by
the
Department
of
Energy
and
Minerals,
Orialle
and
the
CTMC.
Payment
will
only
be
made
at
the
Orialle
Sandton
Offices,
91
Third
Road,
Hyde
Park,
Sandton,
South
Africa,
against
return
of
this
guarantee
by
the
Department
of
Energy
and
Minerals.
对本担保的撤销，或对担保条款的修订，必须首先获得矿产能源部、奥利尔以及中国十冶公司三方的书面认可。付款将于矿产能源部退回本担保时执行，执行地点只能在南非共和国先登市，海德公园三路91号，“奥利尔先登”办公室。
